Докторска дисертација под наведеним насловом обухвата резултате
истраживања три области: меког права (soft law), система корпоративног управљања
и система копоративне друштвене одговорности. Основно полазиште предметног
истраживања је да су поменуте области на одређени начин повезане, међузависне и
да их карактерише интеракција и синергија.
У првој глави докторске дисертације изложене су уводне напомене, са
освртом на предмет истраживања, постављене хипотезе и коришћену методологију.
Теоријски карактер и практични значај меког права предмет су детаљне
анализе у другој глави. Разматрају се терминолошка одређења и појам меког права, уз
покушај да се дође до одговора на питање да ли је меко право заиста право или зашто
је меко ако је право. У том покушају пружа се широк оквир за разумевање овог
феномена, посматрано кроз призму процеса глобализације, правног плурализма,
процеса регулације и дерегулације у савременом праву, појаве рефлексивног права и
значаја проактивног права. У тежњи да с...е дође до дефиниције овог појма, објашњава
се правна природа меког права, стављањем посебног нагласка на објашњење односа
између тврдог и меког права. Такође, дат је приказ развоја теоријског оквира уз
изношење закључака о предностима и недостацима меког права.
Трећа глава је фокусирана на улогу и значај меког права у праву Европске
уније. Посебна пажња је посвећена инструментима меког права који су уведени у
право ЕУ, као што су: препоруке, резолуције, декларације, мишљења и кодекси, који
нису обавезујући у стриктно законском смислу, за разлику од директива, уредби и
одлука које имају обавезујући карактер. Такође, разматрају се улоге Европске
комисије, Европског савета и Европског парламента у креирању комунитарног меког
права.
Меко право у систему корпоративног управљања са посебним освртом на
„примени или објасни“ правило је предмет четврте главе. Прво се разматра
хронологија развоја корпоративног управљања и његовог значаја у савременим
условима привређивања, имајући у виду да је оно прошло кроз више развојних фаза и
да је посебно данас изложено озбиљним критикама и новим изазовима.
This doctoral dissertation with the above mentioned title encompasses research
results in three fields: soft law, the corporate governance system and the corporate social
responsibility system. The underpinning argumentation is that these three fields are in a
certain way connected, interdependent and characterized by interaction and synergy.
The first chapter provided an introductory explanation of the subject of research,
hypotheses and the methodology used.
The theoretical character and practical importance of soft law is analysed in the
second chapter. Terminology and the notion of soft law are examined with a view to
answering the question whether soft law is in fact a law and why it is soft if it is law. This
examination provided for a broad understanding of this phenomenon through the prism of
of globalization, legal pluralism, regulation and deregulation in contemporary law, the
appearance of reflexive law and the importance of proactive law. In an attempt to define
this notion..., the legal nature of soft law is explained, emphasizing the explanation of hard
law/soft law relation. Also, review of development of theoretical framework is given as
well as conclusions on advantages and disadvantages of soft law.
The role and importance of soft law in EU law is presented in the third chapter.
Instruments of soft law which have been introduced into EU law are specifically examined:
recommendations, resolutions, declarations, opinions and codes, which are not strictly
legally binding, as opposed to directives, regulations and decisions, which are of binding
character. Further, the research provides an analysis of roles of the European Commission,
European Parliament and European Council in the creation of EU soft law.
The fourth chapter looks at soft law within the system of corporate governance
especially “comply or explain” rules. Bearing in mind the fact that corporate governance
has gone through more developmental phases and has been recently exposed to serious
criticism and challenges, the research presents a chronology of its development and
continues with the analysis of its importance in contemporary conditions. In light of
corporate scandals which, almost by rule, provoke discussion relating to the importance and
character of corporate governance, the content and importance of the Cadbury Report from
1992 is examined, with the first modern corporate governance code, the so called “Code of
Best Practice”. Specific attention is paid to crucial rules of this report – „comply or
explain“, which are the basis of other codes worldwide.
