Uticaj postakvizicione integracije i restrukturiranja na efikasnost preduzeća

Abstract

Procesi akvizicije preduzeća predstavljaju kompleksan fenomen i uslovi pod kojima unapređuju ili uništavaju vrednost preduzeća još uvek ostaju nedovoljno objašnjeni uprkos brojnim istraživanjima. Postakviziciona integracija predstavlja najkritičniju fazu u kojoj dolazi do kreiranja vrednosti, ali u kojoj se mogu javiti i brojni integracioni problemi. U radu je analiziran proces postakvizicione integracije i restrukturiranja preduzeća, kao i efekti navedenih procesa na efikasnost preduzeća, čime je opredeljen predmet istraživanja. Osnovni cilj istraživanja u doktorskoj disertaciji je utvrditi u kojoj meri integracioni procesi i primenjene mere restrukturiranja utiču na efikasnost poslovanja preduzeća nakon preuzimanja. Respektujući prethodno opredeljeni cilj istraživanja definisan je set podciljeva: prvo, identifikovanje ključnih faktora postakvizicione integracije (transformaciono liderstvo, sličnost korporativnih kultura i brzina integracije); drugo, analiziranje mogućih mera restrukturiranja nakon preuzimanja preduzeća; treće, identifikovanje različitih pristupa za merenje uspeha preduzeća nakon preuzimanja; četvrto, sagledavanje u kojoj meri faktori postakvizicione integracije i primenjene mere postakvizicionog restrukturiranja utiču na performanse preduzeća. U doktorskoj disertaciji je najpre analiziran proces preuzimanja preduzeća, predstavljeni su različiti teorijski aspekti u proučavanju navedenog procesa, kao i faze procesa preuzimanja. Predmet detaljne analize bila je postakviziciona integracija, kao najkritičnija faza procesa preuzimanja preduzeća. Analizirani su faktori od kojih zavisi uspeh postakvizicione integracije, a samim tim i uspeh preduzeća nakon preuzimanja. Ukazano je na značaj sprovođenja postakvizicionog restrukturiranja, a naročito transakcija dezinvestiranja. Posebna pažnja posvećena je merenju i evaluaciji efikasnosti procesa preuzimanja preduzeća i primenjenih mera restrukturiranja.

The processes of company acquisitions are complex phenomena and conditions under which they create or destroy company value remain insufficiently explained despite numerous research. Post-acquisition integration represents the most critical phase of the process, which generates value creation, but may also involve numerous integration problems. The dissertation analyses the process of post-acquisition integration and company restructuring, as well as the effects of the mentioned processes on company efficiency, which has determined the subject of research. The primary goal of the research conducted within the dissertation is to determine the degree in which integration processes and implemented restructuring measures affect the efficiency of company operations after the acquisition. From this primary goal, additional sub-goals are derived: first, identifying key factors of post-acquisition integration (transformational leadership, similarities of corporate cultures and speed of integration); second, analysis of possible restructuring measures after the acquisition; third, identifying different approaches for measuring company success after the acquisition; fourth, determining the measure in which factors of post-acquisition integration and implemented measures of post-acquisition restructuring affect company performance. The dissertation first analyzed the process of company acquisition, different theoretical aspects in studying the process were presented, as well as the phases of the acquisition process. Postacquisition integration, as the most critical phase of the company acquisition process, was duly analyzed. Factors which determine the success of post-acquisition integration, and thus the success of the company after the acquisition were analyzed. The importance of implementing post-acquisition restructuring, and in particular of divestitures, was pointed out. Special attention is given to measurement and evaluation of the efficiency of the company acquisition process and implemented restructuring measures.
