Municipalne obaveznice kao hartije od vrednosti

Abstract

Predmet istraživanja doktorske disertacije jesu municipalne obveznice kao hartije od vrednosti. Municipalne obveznice su dužničke hartije od vrednosti koje izdaju gradovi i opštine, radi finansiranja infrastrukturnih projekata od javnog značaja. U radu su analizirane ove hartije od vrednosti sa aspekta pravne nauke. Prvi deo rada predstavlja polazište istraživanja u kojem su definisane obveznice kao hartije od vrednosti, njihova opšta obeležja, pravne karakteristike i vrste obveznica. Drugi deo rada, fokus istraživanja usmerava na municipalne obveznice kao hartije od vrednosti. Dat je širok teorijski osnov za definisanje municipalnih obveznica kao hartija od vrednosti i njihove opšte i posebne karakteristike. Nakon toga je dat prikaz istorijskog razvoja ovih hartija od vrednosti. Istraživanje je obuhvatilo sve pojavne oblike municipalnih obveznica, kao i njihove najznačajnije karakteristike. Treći deo rada obuhvata čitav spektar pravnih propisa R. Srbije, koji na posredan ili neposredan način predstavljaju pravni okvir kojim se reguliše postupak emitovanja municipalnih obveznica. Četvrti deo istraživanja obuhvata analizu svih faza u postupku emitovanja municipalnih obveznica. Peti deo rada bavi se analizom pozitivnih i negativnih aspekata municipalnih obveznica, i to kako sa stanovišta emitenta obveznica, tako i sa stanovišta investitora kao kupaca. Šesti, poslednji deo rada, obuhvata empirijsko istraživanje koje je zasnovano na sakupljenim podacima iz četiri realizovane emisije municipalnih obveznica u R. Srbiji. Podaci su dobijeni iz Prospekta, odnosno Odluke o emisiji municipalnih obveznica gradova Šabac, Pančevo i Novi Sad, kao i opštine Stara Pazova. Zaključci su posebno izvedeni za empirijski deo istraživanja, i kao takvi inkorporirani u teorijski zaključak istraživanja.

The research topic of the doctoral thesis are municipal bonds as securities. Municipal bonds are debt securities issued by cities and municipalities in order to finance infrastructural projects of public interest. The paper analyzes these securities in terms of jurisprudence. The first part represents the starting point of research, which defines bonds as securities, but also defines their general and legal characteristics and types. The second part of the research shifts focus to municipal bonds as securities. We gave a broad theoretical basis for defining municipal bonds as securities and their general and specific features. Thereafter, we presented the historical development of these securities. The study included all forms of municipal bonds, as well as their most important characteristics. The third part comprises the whole spectrum of legal regulations of the Republic of Serbia, that directly or indirectly represent a legal framework that regulates the procedure of issuing municipal bonds. The fourth part of the research includes the analysis of all stages forming the process of issuing municipal bonds. The fifth part deals with the analysis of positive and negative aspects of municipal bonds, both from the standpoint of bond issuers, and investors as customers. Sixth and the last part of this doctoral thesis includes empirical research, which is based on data collected from four implemented municipal bond issues in the Republic of Serbia. The data were obtained from the Prospectus and the Decision on issuance of municipal bonds of cities of Sabac, Pancevo and Novi Sad, as well as the municipality of Stara Pazova. The conclusions are specifically designed for the empirical part of the research, and as such is incorporated within theoretical conclusions of the research.
